Anglepoint Group, Inc. and its affiliates ("Anglepoint" or "we ") welcome you ("User" or "you") to our "Elevate" platform, as detailed below (the "Platform"). Our Platform offers various resources, tools and services intended to facilitate the delivery of software asset management services. Users may use the Platform in accordance with the terms and conditions hereunder.
1. Acceptance of the Terms
Please read the terms of this agreement carefully before entering or using the Platform. By entering, connecting to, accessing, uploading data to, or using the Platform, you acknowledge that you have read and understood the following terms of use (the "Terms") and you agree to be bound by them and to comply with all applicable laws and regulations regarding your use of the Platform and you acknowledge that these Terms constitute a binding and enforceable legal contract between Anglepoint and you. IF YOU DO NOT AGREE TO THE TERMS, PLEASE DO NOT ENTER TO, CONNECT TO, ACCESS, UPLOAD DATA TO OR USE THE PLATFORM IN ANY MANNER.
2. The Platform
The Platform facilitates the delivery of software asset management services by Anglepoint, including by (i) assisting in the data collection process, data analysis, validation of findings, communication (including online chat) and report generation, (ii) assisting in managing multiple software asset management projects, (iii) providing necessary tools, including configurable data collection scripts across multiple publishers, (iv) automating data analysis, (v) enacting secure data transfer and storage, including API connection to software asset management tools, and (vi) providing instructions and tutorials.
The Platform provides you with additional resources such as technical data, tools, videos, text, files, logos, button icons, images, data compilations, links, other specialized content, tutorials, contact information, documentation, information, know-how, specifications, procedures, designs, data, the "look and feel" of the Platform, algorithms, source and object code, interface, GUI, interactive features related graphics, methods illustrations, drawings, animations, and other features available on or through the Platform (collectively, the "Content"). You may upload your software deployment and entitlement data and other information to the Platform ("User Data").
ALL RIGHTS IN AND TO THE CONTENT AVAILABLE ON THE PLATFORM IS RESERVED TO ANGLEPOINT OR ITS LICENSORS. TO THE EXTENT LEGALLY PERMISSIBLE, THE PLATFORM AND THE CONTENT AVAILABLE THEREIN ARE PROVIDED ON AN "AS IS" BASIS. ANGLEPOINT WILL NOT BE LIABLE FOR ANY DAMAGES OR LOSS INCURRED TO YOU OR ANY OTHER PERSON AS A RESULT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM AND/OR THE CONTENT AVAILABLE THEREIN.
3. Use Restrictions
There are certain conducts which are strictly prohibited when using the Platform. Please read the following restrictions carefully. Failure to comply with any of the provisions set forth herein may expose a User to civil and/or criminal liability.
You may not, whether by yourself or anyone on your behalf, unless otherwise explicitly permitted under these Terms: (a) use the Platform for any illegal, immoral, unlawful and/or unauthorized purposes; (b) use the Platform and/or Content for commercial purposes other than according to your agreement with Anglepoint; (c) interfere with or violate Users' rights to privacy and other rights (such as intellectual property rights), or harvest or collect personally identifiable information or other information about Users without their express consent, whether manually or with the use of any robot, spider, crawler, any search or retrieval application, or use other manual or automatic device, process or method to access the Platform and retrieve, index and/or data-mine information; (d) interfere with or disrupt the operation of the Platform or the servers or networks that host the Platform, or disobey any laws or regulations or requirements, procedures, policies, or regulations of such servers or networks; (e) falsely state or otherwise misrepresent your affiliation with any person or entity, or express or imply that Anglepoint endorses you, your site, your business or any statement you make, or present false or inaccurate information about the Platform; (f) take any action that imposes, or may impose, an unreasonable or disproportionately large load on the platform infrastructure, as determined by us; (g) bypass any measures we may use to prevent or restrict access to the Platform; (h) copy, modify, alter, adapt, make available, translate, port, reverse engineer, decompile, or disassemble any portion of the Content made accessible by Anglepoint on or through the Platform or publicly display, reproduce, create derivative works from, perform, distribute, or otherwise use such Content, other than as permitted under these Terms; (i) copy, distribute, display, execute publicly, make available to the public, reduce to human readable form, decompile, disassemble, adapt, sublicense, make any commercial use, sell, rent, transfer, lend, process, compile, reverse engineer, combine with other software, translate, modify or create derivative works of any material that is subject to Anglepoint's proprietary rights, including Anglepoint's Intellectual Property (as such term is defined below), in any way or by any means, unless expressly permitted in the Terms; (j) make any use of the Content on any other site or networked computer environment for any purpose, or replicate or copy the Content without Anglepoint's prior written consent; (k) create a browser or border environment around Anglepoint Content (no frames or inline linking is allowed); (l) sell, license, or exploit for any commercial purposes any use of or access to the Platform and/or Content; (m) frame or mirror any part of the Platform without Anglepoint's prior express written authorization; (n) create a database by systematically downloading and storing all or any of the Content from the Platform; (o) transmit or otherwise make available in connection with the Platform any virus, worm, Trojan Horse, time bomb, web bug, spyware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of any hardware, software, or telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component; (p) remove or disassociate, from the Content and/or the Platform any copyright, trademark or other proprietary notices contained in such materials (such as ©, ™, or ®); and/or (q) attempt to circumvent any mechanisms for preventing the unauthorized reproduction or distribution of Content, (r) infringe and/or violate any of the Terms.
4. User Account
Your account (the "Account") is password protected. In order to protect the security of your information available on your Account to the greatest extent possible, you must safeguard and not disclose your Account log-in details and you must supervise the use of such Account.
YOU ARE SOLELY AND FULLY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF THE PASSWORD AND ACCOUNT AND FOR ALL ACTIVITIES THAT OCCUR UNDER YOUR ACCOUNT. WE ARE NOT RESPONSIBLE FOR ANY LOSS OF DATA OR OTHER CONSEQUENCES IF SOMEONE OTHER THAN YOU USES THE LOG-IN DETAILS TO ACCESS OUR PLATFORM.
You may not assign or transfer your rights or delegate your duties under the Account without the prior written consent of Anglepoint. You must notify us immediately of any unauthorized use of your Account or any other breach of security and in such events, you must change your password immediately via the settings in the Platform. We cannot and will not be liable for any loss or damage arising from any failure of yours to comply with these Terms, i.e., if someone else accesses your Account through the log-in details he/she has obtained from you or through a violation by you of these Terms, or for any unauthorized use of your password or Account or any other breach of security.
If you wish to either change your username or password to log-in to the Platform, or cancel and remove your Account, you may send us an e-mail of your request to: ELEVATE@anglepoint.com. Your Account on the Platform will terminate within reasonable time following your request, and from that date of termination you will no longer be able to access your Account.
CANCELLING YOUR ACCOUNT MAY CAUSE LOSS OF DATA IN YOUR ACCOUNT. WE DO NOT ACCEPT ANY LIABILITY FOR SUCH LOSS.
5. User Data
You represent and warrant that you have the necessary rights, consents, and permissions to use and upload the User Data to the Platform. You are responsible for the accuracy and completeness of the User Data. The analysis performed and reports generated by Anglepoint may depend on the accuracy and completeness of the User Data uploaded by you to the Platform. We shall keep your User Data in strict confidence.
6. License to User Data
Your User Data is your property. However, we need certain licenses to your User Data in order to provide you with our services through the Platform.
When you upload any User Data on the Platform, you grant us a limited, non-exclusive and royalty-free license to use such User Data in connection with the operation of the Platform and the services we provide to you.
7. License
Anglepoint hereby grants to you, and you accept, a personal, non-exclusive, non-transferable, non-sublicensable and fully revocable limited license to use the Content provided in the Platform in accordance with these Terms and your agreement with Anglepoint and during the term of such agreement.
The Terms do not convey to you an interest in or to Anglepoint's or its licensors' Intellectual Property (defined below) but only a limited revocable right of use in accordance with the Terms. Nothing in the Terms constitutes a waiver of Anglepoint's Intellectual Property under any law.
To the extent you provide any feedback, comments or suggestions to Anglepoint regarding the Platform ("Feedback"), Anglepoint shall have an exclusive, royalty-free, fully paid up, worldwide, perpetual and irrevocable license to incorporate the Feedback into any Anglepoint current or future products, technologies or services and use such Feedback for any purpose all without further compensation to you and without your approval. You agree that all such Feedback shall be deemed to be non-confidential.
Further, you warrant that your Feedback is not subject to any license terms that would purport to require Anglepoint to comply with any additional obligations with respect to any Anglepoint current or future products, technologies or services that incorporate any Feedback.
8. Ownership and Copyrights
The Platform, the Content available therein, the services provided through the Platform, and all of Anglepoint's proprietary assets and any and all intellectual property rights pertaining thereto, including, but not limited to, inventions, patents and patent applications, trademarks, domain names, trade names, copyrightable materials and trade secrets, whether or not registered or capable of being registered (collectively, "Intellectual Property"), are owned by and/or licensed to Anglepoint and are protected by applicable copyright and other intellectual property laws and international conventions. All rights not expressly granted to you hereunder are reserved by Anglepoint and its licensors.
9. Trademarks and Trade Names
"Anglepoint", "Elevate", other Anglepoint's marks and logos and all other proprietary identifiers used by Anglepoint in connection with the Platform ("Anglepoint Trademarks") are all trademarks and/or trade names of Anglepoint, whether or not registered. All other trademarks, service marks, trade names and logos which may appear on the Platform belong to their respective owners ("Third Party Marks"). No right, license, or interest to Anglepoint Trademarks and the Third-Party Marks is granted hereunder, and you agree that no such right, license, or interest may be asserted by you with respect thereto and therefore you will avoid using any of those marks, except as permitted herein.
10. Links to Third Party Sites and/or the Use of Third Party Services
Certain links provided in the Platform may permit Users to leave our Platform and enter non-Anglepoint sites or services. In addition, we may provide our Users the ability to use third party services which are provided within the Platform ("Third Party Services"). Those linked sites and/or Third-Party Services are provided solely as a convenience to you. Those linked sites and Third Party Services are not under the control of Anglepoint and it is not responsible for the availability of such external sites and/or Third Party Services, and does not endorse and is not responsible or liable for any content, advertising, products, services or other information on or available from such sites and services (including without limitation for any payment made to the suppliers of such Third Party Services) or any link contained in a linked site or service. Anglepoint reserves the right to terminate any link or any Third-Party Services at any time. You further acknowledge and agree that Anglepoint shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such linked sites or resource or using such Third-Party Services.
Most of such linked sites and services provide legal documents, including terms of use and privacy policy, governing the use thereof. It is always advisable to read such documents carefully before using those sites and services, inter alia, in order to know what kind of information they are collecting.
11. Privacy Policy
We respect your privacy and are committed to protect the information you share with us. We believe that you have a right to know our practices regarding the information we collect when you connect to, access or use the Platform. We do not use your User Data or any other information you provide to us except for the purpose of providing our services to you, and will not share such information with any third party without your prior written consent. Certain third-party providers, like providers of collection tools, may need access to your information in order to provide you with their services. Anonymized information may be used and shared for analytical purposes. Methodologies provided by you or learned by us may be used in providing services to our clients. Our policy and practices are described in our Privacy Policy at https://elevateexpert.com/Account/Privacy which is incorporated herein by reference.
12. Availability
The Platform availability and functionality depends on various factors, such as communication networks, software, hardware and Anglepoint's services' providers and contractors. Anglepoint does not warrant or guarantee that the Platform will operate at all times without disruption or interruption, or that it will be immune from unauthorized access or error-free.
13. Fees
Fees payable by you for using the Platform shall be according to your agreement with Anglepoint.
14. User Acknowledgment
You may not access the Platform, the Content or use the services or any information stored therein or generated therefrom for any purpose other than in connection with the services provided to you by Anglepoint, including advance your understanding of the installation, deployment and use of certain software assets. Anglepoint, in its sole discretion, provides you with access to the Platform and the services provided therein, and may terminate your access at any time.

15. Changes to the Platform
Anglepoint reserves the right to modify, correct, amend, enhance, improve, make any other changes to, or discontinue, temporarily or permanently, the Platform (or any part thereof including but not limited to the Content) without notice, at any time. In addition, you hereby acknowledge that the Content provided under the Platform may be changed, extended in terms of content and form or removed at any time without any notice to you. You agree that Anglepoint shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform and/or the Content included therein. You hereby agree that Anglepoint is not responsible for any errors or malfunctions that may occur in connection with the performing of such changes.
16. Amendments to the Terms
Anglepoint may, at its sole discretion, change the Terms available at: https://elevateexpert.com/Account/Terms from time to time, including the privacy policy available at: https://elevateexpert.com/Account/Privacy or any other policies incorporated thereto, so please re-visit this page frequently. In case of any material change, we will make reasonable efforts to post a clear notice in the Platform and/or will send you an e-mail to the e-mail address that you provided us. Such material changes will take effect seven (7) days after such notice was provided on our Platform and/or e-mailed to you, whichever is the earlier. Otherwise, all other changes to these Terms are effective as of the stated "Last Revised" and your continued use of the Platform on or after the Last Revised date will constitute acceptance of, and agreement to be bound by, those changes. In the event that the Terms should be amended to comply with any legal requirements, the amendments may take effect immediately, or as required by the law and without any prior notice.
17. Disclaimer and Warranties
TO THE FULLEST EXTENT LEGALLY PERMISSIBLE, THE PLATFORM, THE CONTENT AND THIRD PARTY COMPONENTS ARE PROVIDED ON AN "AS IS" "WITH ALL FAULTS" AND "AS AVAILABLE" BASIS, AND ANGLEPOINT AND ITS VENDORS, INCLUDING OUR AND SUCH VENDORS' OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, LICENSORS, AGENTS AND SUPPLIERS ("COVERED PARTIES") DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTIES OF USE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND THOSE ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS THAT THIS AGREEMENT CANNOT CHANGE.
WE DO NOT WARRANT: (I) THAT USE AND OPERATION OF THE PLATFORM AND THE CONTENT INCLUDED THEREIN IS OR WILL BE SECURE, TIMELY, ACCURATE, COMPLETE, UNINTERRUPTED, WITHOUT ERRORS, OR FREE OF VIRUSES, DEFECTS, WORMS, OTHER HARMFUL COMPONENTS OR OTHER PROGRAM LIMITATIONS, (II) THAT WE WILL CORRECT ANY ERRORS OR DEFECTS IN THE PLATFORM, (III) THE PLATFORM WILL BE INTEROPERABLE OR COMPATIBLE WITH YOUR SYSTEMS, OTHER SOFTWARE, HARDWARE, TOOLS, OR ANY EQUIPMENT, AND WE ARE NOT RESPONSIBLE FOR ANY LOSSES SUFFERED RESULTING FROM INTEROPERABILITY OR COMPATIBILITY PROBLEMS, AND/OR (IV) MAKE ANY REPRESENTATION REGARDING THE USE, INABILITY TO USE OR OPERATE, OR THE RESULTS OF THE USE OF THE PLATFORM AND/OR CONTENT AVAILABLE THERETO (INCLUDING THAT THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS).
WE ARE NOT RESPONSIBLE AND HAVE NO LIABILITY FOR ANY TOOLS, INCLUDING COLLECTION TOOLS, HARDWARE, SOFTWARE, OR OTHER ITEM OR SERVICE PROVIDED BY ANY PERSON OR ENTITY OTHER THAN ANGLEPOINT.
WE USE INDUSTRY STANDARD ADMINISTRATIVE, PHYSICAL AND TECHNICAL SAFEGUARDS TO PROTECT THE CONFIDENTIALITY, INTEGRITY, AND SECURITY OF YOUR INFORMATION. NONETHELESS, NO SECURITY MEASURES ARE 100% EFFECTIVE, AND WE CANNOT GUARANTEE ABSOLUTE SECURITY AND THAT THE INFORMATION, WHICH IS UPLOADED TO THE PLATFORM WILL BE STORED AND/OR WILL NOT BE DELETED. ANGLEPOINT SHALL NOT BE RESPONSIBLE OR LIABLE FOR UNAUTHORIZED ACCESS, HACKING, OR OTHER SECURITY INTRUSIONS OR FAILURE TO STORE OR THE THEFT, DELETION, CORRUPTION, DESTRUCTION, DAMAGE, OR LOSS OF ANY INFORMATION YOU PROVIDED US.
WE ARE NOT RESPONSIBLE FOR ANY CONSEQUENCES TO YOU OR OTHERS THAT MAY RESULT FROM TECHNICAL PROBLEMS (INCLUDING WITHOUT LIMITATION IN CONNECTION WITH THE INTERNET SUCH AS SLOW CONNECTIONS, TRAFFIC CONGESTION, OVERLOAD OF SERVERS, DELAYS OR INTERRUPTIONS) OR ANY TELECOMMUNICATIONS OR INTERNET PROVIDERS.
INASMUCH AS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSIONS OR LIMITATIONS AS SET FORTH HEREIN, THE FULL EXTENT OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY.
18. Limitation of Liability
TO THE MAXIMUM EXTENT LEGALLY PERMISSIBLE, IN NO EVENT SHALL ANGLEPOINT INCLUDING THE COVERED PARTIES BE LIABLE FOR INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, CONTRACT, NEGLIGENCE, TORT OR STRICT LIABILITY) INCLUDING WITHOUT LIMITATION, LOSS OF GOODWILL, PROFITS OR DATA AND BUSINESS INTERRUPTION ARISING HEREUNDER, RESULTING FROM OR ARISING OUT OF THE PLATFORM, YOUR USE OR INABILITY TO USE THE PLATFORM, OR FAILURE OF THE PLATFORM TO PERFORM AS REPRESENTED OR EXPECTED, OR FROM ANY CONTENT, THE PERFORMANCE OR FAILURE OF ANGLEPOINT TO PERFORM UNDER THESE TERMS, ANY OTHER ACT OR OMISSION OF ANGLEPOINT OR ANY OF THE COVERED PARTIES, BY ANY OTHER CAUSE WHATSOEVER; OR BASED UPON BREACH OF WARRANTY, GUARANTEE OR CONDITION, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT, OR ANY OTHER LEGAL THEORY, REGARDLESS OF WHETHER ANY OF THE COVERED PARTIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, WITHOUT LIMITING THE GENERALITY OF THE FOREGOING AND TO THE MAXIMUM EXTENT LEGALLY PERMISSIBLE, ANGLEPOINT'S, ITS VENDORS INCLUDING OUR AND SUCH VENDORS' OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, LICENSORS, AGENTS AND SUPPLIERS, TOTAL AGGREGATE LIABILITY FOR ALL DAMAGES OR LOSSES WHATSOEVER ARISING HEREUNDER OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE PLATFORM AND/OR THE CONTENT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU TO ANGLEPOINT DURING THE TWELVE-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
INASMUCH AS SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSIONS OR LIMITATIONS AS SET FORTH HEREIN, THE FULL EXTENT OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY.
19. Indemnification
You agree to defend, indemnify and hold harmless Anglepoint, its vendors, including our and such vendors' officers, directors, employees, affiliates, subsidiaries, licensors, agents and suppliers from and against all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from: (i) your unauthorized use of the Platform and/or Content; (ii) your violation of any of these Terms; (iii) your violation of any third party rights, including without limitation any intellectual property rights or privacy right of such third party in connection with your use of the Platform; and (iv) the User Data you uploaded through the use of the Platform. We agree to defend, indemnify and hold you harmless from and against all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from the violation of any third-party intellectual property rights by the Platform or any Content created by Anglepoint. Each party agrees not to settle any matter subject to an indemnification by the other party without first obtaining the prior express written approval of the other party. It is hereby clarified that these defense and indemnification obligations will survive these Terms.
20. Termination of the Platform Operation
Anglepoint may, at any time, at its sole discretion, cease the operation of the Platform or any part thereof, temporarily or permanently, delete any information or Content from the Platform or correct, modify, amend, enhance, improve and make any other changes thereto or discontinue displaying or providing any information, Content or features therein without giving any prior notice. You agree and acknowledge that Anglepoint does not assume any responsibility with respect to, or in connection with, the termination of the Platform operation. The provisions of these Terms that, by their nature and content, must survive the termination of these Terms in order to achieve the fundamental purposes of these Terms shall so survive. Without limiting the generality of the forgoing, the Ownership and Copyrights, Trademarks and Trade Names, Disclaimer and Warranties, Limitation of Liability, Indemnification and General sections will survive the termination of the Terms.
21. General
(a) These Terms (including the terms accompanying certain features/services as displayed in the Platform) constitute the entire terms and conditions between you and Anglepoint relating to the subject matter herein and supersede any and all prior or contemporaneous written or oral agreements or understandings between you and Anglepoint with respect to the use of the Platform, except for any written agreement between you and Anglepoint referring explicitly to the use of the Platform by you, (b) any claim relating to the Platform or the use thereof will be governed by and interpreted in accordance with the laws of the State of California without reference to its conflict-of-laws principles and the United Nations Convention Relating to a Uniform Law on the International Sale of Goods may not be applied. You hereby waive claims that you might otherwise have against Anglepoint based on the laws of other jurisdictions, (c) any dispute arising out of or related to the Platform will be brought in, and you hereby irrevocably consent to exclusive jurisdiction and venue in, the competent federal or state courts of Santa Clara County, California. You agree to waive all defenses of lack of personal jurisdiction and forum non-convenience and agree that process may be served in a manner authorized by applicable law or court rule, (d) these Terms do not, and shall not be construed to create any relationship, partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between the parties hereto, (e) no waiver by either party of any term and condition or breach or default hereunder will be deemed to be a waiver of any preceding or subsequent breach or default or such term and condition. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof, (f) YOU ACKNOWLEDGE AND AGREE THAT ANY CAUSE OF ACTION THAT YOU MAY HAVE ARISING OUT OF OR RELATED TO THE PLATFORM MUST COMMENCE WITHIN SIX MONTHS AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED, (g) if any provision hereof is adjudged by any court of competent jurisdiction to be unenforceable, or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect while most nearly adhering to the intent expressed herein, (h) you may not assign or transfer these Terms (including all rights and obligations hereunder) without our prior written consent and any attempt to do so in violation of the foregoing shall be void, and (i) the parties agree that all correspondence relating to these Terms shall be written in the English language.
